February 13, 2009, Vancouver BC, Golden Dawn Minerals Inc. (GOM: TSX-V) (the "Company" or "Golden Dawn") announced that the Company signed three Amending Assignment Agreements (the "Amending Assignments") with Michel Caron. ("Caron."), a private Ontario company, on February 6th, 2009.

Pursuant to three Amending Assignments the Company will issue an aggregate of 200,000 common shares of the Company, in lieu of the Company's previous obligation to pay Caron an aggregate of $80,000 in property acquisition payments, for a 100% interest in 3 properties commonly referred to as the 80 Foot Fall, Central Catharine and Link-Catharine properties, all of which are located in the Boston-Skead gold belt of northeastern Ontario, Canada. This transaction is subject to regulatory approval.
